Refund Policy

1. Purpose

This Refund Policy describes the circumstances under which purchases of API Credits and other paid Services offered by Ordius Technologies may be eligible for refunds, billing adjustments, or payment reversals. It forms part of the contractual relationship between the Customer and Ordius Technologies and should be read together with the Ordius API Terms of Service and Privacy Policy.

Ordius Technologies believes that commercial relationships should be conducted with fairness, transparency, and good faith. While API Credits represent digital services that are consumed electronically, Ordius Technologies recognizes that situations may arise where refunds are appropriate and reasonable.

This Policy is intended to establish clear, consistent, and predictable guidelines for Customers while protecting the operational integrity of the Ordius File Fingerprinting API and ensuring equitable treatment for all Customers.

2. General Refund Philosophy

Ordius Technologies strives to conduct business with fairness, transparency, and integrity. The objective of this Refund Policy is not to prevent legitimate refunds, but to establish a clear and consistent framework that balances the interests of Customers with the operational requirements of the Ordius File Fingerprinting API.

Because the Service is delivered electronically and API Credits may be consumed immediately after purchase, refund eligibility depends upon the nature of the purchase, the amount of API Credit consumed, the circumstances giving rise to the request, and the provisions described throughout this Policy.

Ordius Technologies will evaluate refund requests in good faith and, when appropriate, will make commercially reasonable efforts to provide fair and equitable resolutions that are consistent with this Policy and applicable law.

Nothing in this Policy guarantees that every refund request will be approved. Refund decisions are made in accordance with the specific circumstances of each request, the status of the associated API Credits, and the provisions of this Refund Policy.

3. Eligibility for Refunds

Refund requests may be considered where the Customer purchased API Credits or paid Services directly from Ordius Technologies and the request is submitted within the applicable Refund Window described in this Policy.

Refund eligibility is determined based upon the specific circumstances of the request, including the purchase history, the amount of API Credits remaining unused, whether any Service malfunction materially affected the Customer's ability to use the Service as intended, and any other applicable provisions of this Policy.

To be eligible for consideration, Customers may be required to provide sufficient information reasonably necessary to identify the relevant transaction, including the purchase date, transaction reference, associated API Key, and any information reasonably required to evaluate the request.

Refund eligibility may be limited or denied where the purchased API Credits have been substantially or fully consumed, where the request falls outside the applicable Refund Window, where the purchase resulted from fraudulent, abusive, or unlawful activity, or where another provision of this Refund Policy expressly excludes refund eligibility.

Approval of one refund request does not establish a precedent or create an obligation for Ordius Technologies to approve future refund requests under different circumstances.

4. Refund Window

Refund requests must be submitted within fourteen (14) calendar days from the date the applicable purchase was successfully completed. Refund requests received after the Refund Window has expired will generally not be eligible for consideration.

The Refund Window begins on the date the payment is successfully processed by the authorized third-party payment processor and applies only to the specific purchase associated with the refund request.

Submission of a refund request within the Refund Window does not guarantee approval. All requests remain subject to the eligibility requirements, exclusions, and other provisions contained in this Refund Policy.

Where applicable law provides Customers with mandatory statutory refund rights that exceed the Refund Window described in this Policy, those statutory rights shall prevail to the extent required by law.

5. Non-Refundable Purchases

Except where required by applicable law or expressly provided elsewhere in this Refund Policy, the following purchases are generally not eligible for refunds.

  • API Credits that have been fully consumed through successful API requests.
  • Purchases where API Credits have been substantially consumed prior to the submission of a refund request.
  • Purchases made outside the applicable Refund Window.
  • Purchases associated with fraudulent, abusive, unlawful, or unauthorized use of the Service.
  • Purchases made using promotional credits, complimentary credits, evaluation credits, beta program allocations, or other non-commercial credit grants unless expressly stated otherwise.
  • Refund requests based solely upon changes in Customer requirements, business decisions, lack of future use, or the Customer's decision to discontinue use of the Service after valid delivery of purchased API Credits.

Nothing in this section limits the Customer's eligibility for refunds arising from duplicate payments, billing errors, or material Service failures where such refunds are expressly provided elsewhere in this Refund Policy or required under applicable law.

6. API Credit Usage

API Credits represent prepaid access to the Ordius File Fingerprinting API and are consumed when the Service successfully processes eligible API requests. Once API Credits have been consumed through successful use of the Service, the corresponding portion of the purchased Service shall be considered delivered.

Refund requests involving purchases for which no API Credits have been consumed may be eligible for a full refund, subject to the applicable Refund Window and the other provisions of this Refund Policy.

Where only a portion of the purchased API Credits has been consumed, Ordius Technologies may, at its sole discretion and where commercially reasonable, approve a partial refund corresponding to the unused balance of API Credits remaining at the time the refund request is evaluated.

API Credits that have already been consumed through successful API processing are generally non-refundable, except where the consumption resulted directly from a verified material Service malfunction, duplicate processing attributable to the Service, or where otherwise required under applicable law.

For the avoidance of doubt, the submission of API requests using a valid API Key constitutes use of purchased API Credits regardless of whether the Customer subsequently uses, stores, or relies upon the generated SHA-256 fingerprints or Ordius IDs.

7. Duplicate or Accidental Payments

Ordius Technologies recognizes that duplicate, unintended, or accidental payments may occasionally occur. Where a Customer reasonably believes that multiple payments were made for the same purchase or that a payment was completed unintentionally, the Customer may submit a refund request within the applicable Refund Window.

Upon verification that a duplicate or accidental payment occurred, Ordius Technologies may, at its sole discretion and where commercially reasonable, approve a refund of the duplicate payment or otherwise make an appropriate billing adjustment.

Customers may be required to provide sufficient information reasonably necessary to identify and verify the transaction, including the purchase date, transaction reference, associated API Key, and any other information reasonably required to evaluate the request.

This section applies only to duplicate or accidental payment events. It does not create refund eligibility for API Credits that have already been validly consumed through successful use of the Service.

Nothing in this section limits Ordius Technologies' ability to deny requests that are fraudulent, abusive, intentionally misleading, or otherwise inconsistent with this Refund Policy.

8. Service Errors

Ordius Technologies is committed to providing a reliable and consistent Service. Where a verified material malfunction of the Ordius File Fingerprinting API directly prevents the successful delivery of the purchased Service, affected Customers may be eligible for an appropriate refund, billing adjustment, or restoration of API Credits, as determined by Ordius Technologies.

Examples of material Service malfunctions may include persistent failures of the Service to process valid API requests, duplicate API Credit deductions caused solely by the Service, or other verified operational errors that materially prevent Customers from receiving the Service for which payment was made.

Refund eligibility under this section does not apply to interruptions, errors, or failures arising from Customer systems, Customer software, network connectivity, Internet service providers, third-party infrastructure outside the reasonable control of Ordius Technologies, invalid API requests, incorrect Customer configurations, or misuse of the Service.

Where a Service malfunction can reasonably be corrected through the restoration of API Credits, reprocessing of requests, or another operational remedy that places the Customer in substantially the same position as if the malfunction had not occurred, Ordius Technologies may elect to provide such remedy instead of issuing a monetary refund.

Nothing in this section limits any mandatory consumer rights that cannot be excluded or limited under applicable law.

9. Unauthorized Transactions

If a Customer reasonably believes that a payment was made without the Customer's authorization using the Customer's payment method, the Customer should promptly contact the authorized third-party payment processor used for the transaction and, where appropriate, notify Ordius Technologies.

Where a verified unauthorized payment occurred and the associated API Credits have not been consumed, Ordius Technologies may, where commercially reasonable and consistent with this Refund Policy, approve an appropriate refund or billing adjustment.

Where API Credits have already been consumed through successful API requests submitted using a valid API Key, the Service shall presume that such requests were performed with the express authorization and intention of the Customer. Ordius Technologies recognizes the validity of the API Key as the sole operational credential authorizing the use of the Service.

Customers are solely responsible for exercising appropriate care in the creation, storage, protection, and management of their API Keys. Unauthorized disclosure, loss, theft, or misuse of an API Key does not, by itself, create entitlement to a refund for API Credits validly consumed using that API Key.

Nothing in this section limits any mandatory rights available to the Customer under applicable law in cases involving verified fraudulent payment transactions.

10. Chargebacks

Customers are encouraged to contact Ordius Technologies before initiating a payment dispute or chargeback through their financial institution or authorized third-party payment processor. Many billing questions or transaction issues can be resolved more efficiently through direct communication.

Where a chargeback or payment reversal is initiated, Ordius Technologies reserves the right to temporarily suspend or restrict access to the associated API Credits or API Key while the payment dispute is being resolved, where such action is reasonably necessary to protect the integrity of the Service.

If the chargeback is resolved in favor of the Customer, Ordius Technologies will make commercially reasonable efforts to restore any affected access or otherwise provide an appropriate operational remedy, where applicable.

If the chargeback is determined to be invalid, fraudulent, abusive, or otherwise inconsistent with this Refund Policy or the Ordius API Terms of Service, Ordius Technologies reserves the right to permanently revoke the associated API Credits, suspend the applicable API Key, or refuse future purchases where reasonably necessary to protect the Service.

Nothing in this section limits any rights or obligations arising under applicable law or the rules governing the authorized third-party payment processor responsible for the original transaction.

11. Refund Processing

Where a refund request is approved, Ordius Technologies will initiate the approved refund or billing adjustment through the same authorized third-party payment processor used for the original purchase, unless otherwise required by applicable law or operational necessity.

Approved refunds will generally be processed within a commercially reasonable period after the refund request has been reviewed and approved. The time required for refunded funds to appear in the Customer's account may vary depending upon the policies and processing times of the Customer's financial institution or payment provider.

Where appropriate and commercially reasonable, Ordius Technologies may, at its sole discretion, restore unused API Credits or provide another operational remedy instead of issuing a monetary refund where such remedy places the Customer in substantially the same position as if the refundable event had not occurred.

Refunds will ordinarily be issued using the same payment method used for the original purchase. Ordius Technologies is not responsible for delays caused by financial institutions, card issuers, banks, payment processors, currency conversion, or other parties involved in the settlement of payment transactions.

Customers will be notified once an approved refund or operational remedy has been initiated.

12. Taxes and Fees

Unless expressly stated otherwise, all prices published by Ordius Technologies are exclusive of any taxes, duties, levies, withholding taxes, value-added taxes (VAT), goods and services taxes (GST), sales taxes, or similar governmental charges that may apply under applicable law.

Customers are solely responsible for determining, reporting, and paying any taxes, duties, or governmental charges arising from their purchase or use of the Service, except where Ordius Technologies is required by applicable law to collect or remit such amounts.

Any taxes, processing fees, or similar charges imposed by an authorized third-party payment processor or by the Customer's financial institution are outside the control of Ordius Technologies and are not refundable except where required by applicable law.

Where applicable law requires Ordius Technologies to collect taxes as part of a transaction, such amounts will be identified separately during the purchase process where reasonably practicable.

13. Changes to this Refund Policy

Ordius Technologies may revise or update this Refund Policy from time to time to reflect changes in the Service, operational practices, payment processing procedures, applicable law, regulatory requirements, or other legitimate business needs.

The most current version of this Refund Policy will always be published on the official Ordius website. The effective date displayed at the beginning of this Policy indicates when the current version became effective.

Material changes that significantly affect Customer refund rights or refund eligibility may be communicated through the official website, API documentation, or other reasonable communication channels before such changes become effective, where reasonably practicable.

Refund requests shall be evaluated in accordance with the version of this Refund Policy that was in effect at the time the applicable purchase was completed, unless otherwise required by applicable law.

Previous versions of this Refund Policy may be retained by Ordius Technologies for historical, legal, regulatory, or operational reference.
